MUTUAL NON-DISCLOSURE AGREEMENT

WHEREAS, the parties wish to establish contract terms governing their business relationship and obligations, now, therefore, in consideration of the mutual promises set forth below, the parties agree as follows:
1. Definition of Confidential Information
Confidential Information refers to any proprietary information, technical data, trade secrets, or know-how disclosed by the Disclosing Party to the Receiving Party, whether orally or in writing, that is identified as confidential.
2. Obligations of Receiving Party
The Receiving Party agrees to maintain the Confidential Information in strict confidence and to take all reasonable precautions to prevent unauthorized disclosure. The Receiving Party shall not use the information for any purpose outside this agreement.
3. Term and Termination
The obligations of confidentiality under this Agreement shall survive for a period of three (3) years from the date of disclosure, or until such time as the Confidential Information enters the public domain through no fault of the Receiving Party.
Governing Law & Jurisdiction
This Agreement shall be governed by, and construed in accordance with, the laws of the State of California, without regard to its conflict of laws principles. Any legal action arising out of this Agreement shall be brought exclusively in the courts located therein.
